Terms of Service

LedgerPass connects your Shopify store to an accounting platform you choose and posts a balanced daily journal entry summarizing your Shopify activity — sales, fees, tax, tips, refunds, shipping, gift cards and tenders. LedgerPass holds your Shopify access token and reads accounting-relevant data; destination platforms receive only processed summaries.

LedgerPass is provided free of charge to all users, with no subscription, no per-transaction fees, no usage caps, and no paid tier. We may introduce optional paid add-ons in the future, but the core Service described here will remain free. The accounting platforms you connect are operated by third parties and may have their own pricing.

You must operate a Shopify store and have authority to connect it and the accounting platforms you link. You are responsible for maintaining the security of your Shopify and destination accounts and for all activity that occurs under them.

LedgerPass is a tool to assist with bookkeeping; it is not a substitute for professional accounting advice. You are responsible for:

• Reviewing the journal entries created in your accounting platform for accuracy
• Configuring your account mappings correctly
• Ensuring your use complies with applicable tax and accounting requirements

You agree not to:

• Use the Service in violation of any law or third-party rights
• Attempt to access data or accounts that are not yours
• Interfere with, disrupt, or reverse engineer the Service or its security
• Use the Service to transmit malicious code or to abuse connected platforms' APIs

The Service relies on Shopify and on the destination accounting platforms you connect. These third parties are governed by their own terms, pricing and availability, and we are not responsible for their acts, omissions, outages or changes to their APIs. Your use of those platforms is between you and them.

LedgerPass and its underlying software, branding and content are owned by us and our licensors. These Terms do not grant you any ownership rights in the Service. You retain all rights to your own store and accounting data.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that the journal entries it produces will be free of inaccuracies. You remain responsible for reviewing your books.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEDGERPASS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. BECAUSE THE SERVICE IS PROVIDED FREE OF CHARGE, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

You agree to indemnify and hold LedgerPass harmless from any claims, damages, liabilities and expenses arising out of your use of the Service, your data, or your violation of these Terms or applicable law.

You may stop using the Service at any time by uninstalling it from your Shopify store, which triggers deletion of your stored Shopify credentials. We may suspend or terminate access if you violate these Terms or to protect the Service. Sections that by their nature should survive termination (including disclaimers, limitation of liability and indemnification) will survive.

We may modify the Service or these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the jurisdiction in which LedgerPass operates, without regard to conflict-of-laws principles. Any disputes will be resolved in the courts of that jurisdiction, unless otherwise required by applicable law.
